Exhibit 1. 4 highlights the marketing implications of Internet technologies in the following categories: Bits not atoms, Mediating technology, Global reach, Network externality, Time moderator, Information equalizer, Scalable capacity, Open Standard, Market deconstruct, and Task Automation. What fundamental changes has the Internet brought to marketing? The balance of power is shifting to buyersââ¬âone of the most fundamental changes to marketing. Marketers have practically lost control of brand images due to blogs, online bulletin boards, and other online communication, and must consistently underpromise and overdeliver. Other changes: Market fragmentation. The Internet put finality to this trend by extending to its ultimateââ¬âa market size of one customerââ¬âand prompted marketers to create products and communication to small target groups. Death of distance. Geographic location is no longer a factor when collaborating with business partners, supply chain firms, or customers, or just chatting with friends. Time compression. Time is not a factor with Internet communication between firms and their stakeholders. Online stores can be open 24/7; people can communicate as their schedules permit; times zones disappear for managers collaborating with partners on other continents. Critical knowledge management. In the digital world, customer information is easy and inexpensive to gather, store, and analyze. Managers can track marketing results as plans are implemented, receiving play-by-play reports. However, turning huge databases into meaningful knowledge to guide strategic decisions is a major challenge. Interdisciplinary focus. Marketers must understand technology to harness its power. They do not have to personally develop the technologies, but they need to know enough to select appropriate suppliers and direct technology professionals. Intellectual capital rules. Imagination, creativity, and entrepreneurship are more important resources than financial capital. The internet properties that affect marketing are the web itself. The web allows information to travel faster throughout the whole world. Secondly, the existence of email contributes to a more efficient way of communication. Email also has sparked the ideas for another internet revolution, the social networks. A social network is based on Web 2. 0 where the web allows interactivity within the internet users community. The existence of social networks such as Facebook and Twitter keeps people online more often than before. Another example of internet properties that affect marketing is through blogs. There was a saying; ââ¬Å"pen is sharper than swordâ⬠. With blogs, internet users are allowed to express their opinions and discussions worldwide. The wiki pages such as Wikipedia are places where people share knowledge about everything, including brands and other marketing related topics. With these internet properties, there are a few fundamental changes the internet has brought to marketing. Firstly, it changes the power shift from sellers to buyers. Consumers have the ability to share and review the products online where good products will be praised and inferior products will be critiqued everywhere through word of mouth or some would call it word of ââ¬Å"mouseâ⬠(WOM). It is also through this process that consumers trust each other more than they trust the companies. This issue can be measured by the success of EBay in the online market where second-hand and unexpected products will be marketed in the website. One could get an item from EBay where no other can find such as unique products. The other big change to marketing approach due to internet is the market and media fragmentation. Before the existence of internet marketing, the brands will go through a series of supply chain before reaching to theâ⬠¦ What concerns about consumer privacy are raised by the increased use of wireless computing and handheld devices outside the home or workplace? here wireless devices can contain their financial and private information and those signals can be intercepted and other people can obtain information. 12. The rapid proliferation of wireless networks outside the home and work place has resulted in increase d concern over privacy. In the digital context, privacy refers to two things: the ââ¬Å"right to be left alone,â⬠and the right to keep oneââ¬â¢s personal information private (see chapter 5). With regard to wireless computing, one big concern is text message Spamming. As marketers gain access to cell phone numbers and even cell phone directories, many fear that unscrupulous marketers will overwhelm consumers with voice and text messages. Another concern is that people can intercept wireless transmissions, thus gaining access to personal information sent from PCs and other devices over wireless networks. Security issues with hard-line Internet connections with ââ¬Å"always-onâ⬠services like DSL and cable were concern enough already. Now with services that broadcast data throughout the air freely available to everyone, consumers have reason to be even more concerned. The same issues with privacy, credit cards numbers, personal information, etc. apply, except now people can listen in and even jump onto your network with a Pringleââ¬â¢s can for an antennae and a little know how. Encryption standards are still widely debated, but it is likely the added convenience will win out in the end. In a future with mobile commerce and automated account transfers over wireless networks, security will become paramount.

Introduction The National Institute for Occupational Safety and Health (NIOSH)ââ¬â¢s invention of Research to practice (R2P) was a totally a new initiative, it is served with the purpose of transferring and translating the instituteââ¬â¢s research findings, its technologies and information by using highly effective practices of prevention and most common and available products which can are easily adopted in the workplace. Its research is aimed at using the necessary methods of prevention to reduce work-related musculosketal disorders (WMSDs). The initiative encourages management commitment, the anticipation of workers, it also trains them the necessary safety practices procedures and these helps them to identify, evaluate and control risk factors that relate to WMSDs (American Meat Institute and Ergo Tech, 1990). The main objective of the initiative is to reduce illness and injury is achieved by ensuring there is effective use of its research findings at workplaces (ANSI, 1996). In ensuring that their findings are achieved effectively they work closely with other partners like center for disease control (CDC), this facilitates its product development, translating its research findings into practice, target its dissemination efforts, and in evaluating practice effectiveness (ANSI, 1986), and this is clearly demonstrated by their efforts which have improved workplace health and safety in many organizations (American Meat Institute and Ergo Tech, 1990). Their research initiative is accomplished by making use of the following techniques: (a) Prioritizing: ââ¬â their researches are aimed at addressing the most important and pertinent issues occupational, safety, health and injuries. (b) Partnering: since it realizes that it cannot achieve its targets alone, it carries out its research and works closely with both international and domestic partners to encourage work place practices adoption and use of research findings. (c) Targeting: ââ¬â Its research findings are channeled into information products, in different presentation reports which is tailored mainly towards meeting the targeted audience. (d) Translation: ââ¬â It ensures that their research findings are transferred and translated by using appropriate tools of presentation by making use of latest technology, and all the necessary information that will ensure adoption of required prevention practices and procedures. (e) Dissemination: It uses the latest communication science in guiding the movement of its research into the workplace. (f) Evaluation: It builds data collection into each program to determine its effectiveness in preventing work place injury and illness (ANSI, 1996). In order to ensure that the above initiative objectives are met, they make use of a variety of control methods of intervention to contain workplace hazards, their methods include ergonomic hazards. The control methods are: (a) It builds strategies aimed at reducing the potential conditions for hazards by making use of engineering controls. (b) By making use of administrative controls to ensure easy transition of workplaces practices, and the general management policies. (c) they encourage the use of any necessary personal equipment Conclusion NIOSHââ¬â¢s practices and activities highlight hazards and prevention strategies from diverse settings of work places. Their materials of practice are flexible and can be used either as a stand-alone curriculum or they get it incorporated into the already safety programs in practice (Astrand, & Rodahl, 1986). Outline The Nature of Supermarkets Power On The High Street and Beyond. This essay is looking at the power of supermarkets and how they use this power. The word power is often used to ââ¬Å"denote influence, control or dominationâ⬠(Allen, 2009, p. 9) Supermarkets use this power over suppliers, workers, Councils, consumers and other shops and there are conflicting views as to whether this power is used for the good of everyone or at the expense of everyone other than the supermarkets themselves or as Dennis Wrong (1977) calls it Positive Sum Game- ââ¬Å"where all parties involved benefit to some extentâ⬠or Zero Sum Game- ââ¬Å"where supermarkets wield their power at the expense of othersâ⬠(Allen, 2009, p. 70) Supermarkets due to their sheer size and buying power have a huge advantage over the small independent high street shops. They offer a massive choice of products at a low price because they are able to buy in large quantities at discounted prices, sometimes even below cost price. These out of town supermarkets have convenient parking and consumers are able to do all their shopping in one place, from food, clothing, electrical equipment, financial services, gas and electricity etcâ⬠¦ This all makes shopping in these retail parks easier and cheaper for the consumer and the smaller independent high street shops are unable to match these prices, choices and convenience and are therefore unable to compete against the giants. As weââ¬â¢ve seen a move towards more out-of-town, car-dependent stores with large-format retail dominating, its driven trade away from town centres which has clearly had an impact on the small shops that are there, and we see approximately fifty small shops, independent shops, closing every weekâ⬠Helen Rimmer (Friends of the earth) (ââ¬ËEvidence in the social sciencesââ¬â¢, 2009 track 1) The big supermarkets have also introduced small high street Metro and Express stores to put further pressure on the independents and gain those consumers without cars and who are unable to get to the out of town retail park. According to Helen Rimmer (Friends of the Earth) ââ¬Å"Thereââ¬â¢s been a study of the impact of Tesco Express which is the Tesco convenience store when theyââ¬â¢ve moved into an area, that generally led to a decline, in the small shops locally, of about 30 to 40 per centâ⬠(ââ¬ËEvidence in the social sciencesââ¬â¢, 2009 track 1) To keep their prices low, Supermarkets are putting huge pressures on suppliers both in the UK and globally, they are often dictating how much they will pay and even the size, shape and colour of fruit and vegetables. To meet these demands suppliers are being forced to cut their cost to the bare minimum and in many cases are operating at a loss, forcing the smaller suppliers out of business. There is massive wastage, as food is rejected if it doesnââ¬â¢t conform to the set cosmetic appearance that the supermarkets have imposed, often sacrificing taste and flavour for appearance. Farmers have been known to plough crops back into the land when they have been rejected or the supermarket wants to pay a ridiculously low price. The cost of this wastage is usually met by the supplier, as are the ââ¬Ëbuy one get one freeââ¬â¢ (BOGOF) deals that the supermarkets offer to entice their customers. This cost cutting is passed onto their workers both in the UK and abroad. In the UK they are more often than not migrant agency workers who pick and sort the salad crops, who are paid very low wages, sometimes below the cost of living. ââ¬Å"There is a high price to be paid for cheap goods and that cost is borne one-sidedly by the weakest and least powerful groups in the supply chainâ⬠(Allen, 2009, p. 3) Meanwhile abroad, cheap clothing is produced in sweatshops, with exploited workers enduring poor conditions, long hours and being paid an inadequate wage. ââ¬Å"The true cost of the cheap jeans and trousers, as well as the bargain-priced shoes, which line Asdaââ¬â¢s and Tescoââ¬â¢s aisles, War on Want claim, is the absence of a living wage for workers in their supply chainâ⬠(Allen, 2009, p. 85) However the fact that this work is being sourced in Asia means that the clothing industry in these countries is expanding rapidly and this means work that was not there previously. These jobs are in demand by the locals as it means a way out of poverty for them, ââ¬Å"the last thing a country like this wants is for the big retailers to stop sourcing their labour from them. That, it is pointed out, would threaten the steadily rising living standards of the garment workersâ⬠. (Allen, 2009, p. 91) Supermarkets use their power over local government to persuade them to allow the further development of new stores. This is done by a method called ââ¬ËPlanning Gainââ¬â¢ in which they pay for civic facilities to be built i. e. : leisure centres and Doctors surgeries, in return for planning permission for a new store. These developments are Sometimes in run down, poor areas and the development of a new store can be interpreted as a good thing in helping the regeneration of the area, creating new jobs for the unemployed and encouraging new business into the area. Again there is controversy surrounding this, many believe it is for the good of the community and other believing it is ââ¬Å"merely the latest in a series of opportunistic moves by them to get stores built at a time when planners and government frown upon out-ofââ¬âtown developmentsâ⬠(Allen, 2009, p. 4) The supermarkets are providing consumers with what they want. Cheap products in the current climate of recession are a necessity for many having to tighten their belts. The ease of having everything in one place makes it convenient to shop for those who have cars and can get to the out of town stores. ââ¬Å"People like what supermarkets do and the efficiencies that come from the scale of their operations, the quality and choice that theyââ¬â¢re able to offer, the prices that people find appealing are all reasons why people choose to shop in supermarkets. The consumers however are getting what they want, but at what cost! The exploitation of the workers in the sweatshops of Asia, the bullying of the farmers to sell their milk, fruit and vegetables to them at the price they dictate and the small shops being put out of business. Yes supermarkets are powerful but at the end of the day it is the consumer who is enabling them to continue being so. ââ¬Å"If customers like what a retailer is offering, they will choose that particular store or type of store and theyââ¬â¢ll use it. Breach of Contract Example The purchase and sale agreement signed on August 1st 2014, between Insurance Depot Limited (Depot) and Mr. Sanford (Sanford), is a legally binding contract. As a result, Depot will be able to effectively enforce its contract with Sanford by taking legal action. Depots contract with Sanford satisfies the necessary elements of consideration, consensus, intention, legality, and capacity: Consensus There was a written agreement that was signed by both parties. This is proof of an offer and signed acceptance. Consideration Sanford sold his business for $1.4 million to Depot this is an exchange. Intent Intention is presumed in commercial transactions such as the sale or purchase of a business. Capacity and legality There is no evidence to suggest that either party lacked capacity, and both were represented by legal counsel. There were no signs of illegality in the contract. Because the contract satisfies all major elements outlined above, it is enforceable under the rules of contract law. What will be the likely result if they go to trial? If they go to trial, Depot must successfully demonstrate that Sanford breached at least one of the provisions of the contract. The contract outlines one major restrictive covenant: a non-competition clause. In this case, Depot can sue Sanford for breaching the non-competition provision of the purchase and sale agreement. The non-competition clause is legally enforceable as it is reasonable, and it does not contradict public policy. The clause is also clear and unambiguous. It is specific as it denotes the time frame of five years and geographical range of one hundred kilometres that prohibit Sanford from engaging in the business of insurance brokerage. In order for the clause to be enforceable, these constraints need to be considered reasonable. The geographic and time-based restrictions are assumed to be reasonable in this case. Sanford violated the non-competition clause by opening his new insurance brokerage only two blocks away from Depot. Sanfords breach of the non-competition clause effectively gives Depot the right to claim damages. In order to be entitled to a remedy, Depot must prove in a court of law that Sanfords breach of contract adversely affected Depots business profits. Depot could then be awarded financial compensation (pecuniary damages) for the lost potential business. In addition, Depot may also be entitled to the equitable remedy of an injunction on Sanfords new business. This would mean Sanford would have stop business operations until the five-year time span has elapsed, allowing Depot to establish itself as a major industry player in the area. In terms of solicitation, Sanford did not actively solicit customers these customers chose to switch to Sanfords new firm at their own will. If the contract did include a non-solicitation clause, Depot would likely be unsuccessful in taking legal action with regards to it.Ã Depot should focus its legal efforts solely on the breach of the non-competition clause. Should Depot sue with respect to the overstatement of accounts receivable? Although there was an overstatement of the accounts receivable on Sanfords financial statements, Depot should not sue for this misrepresentation. This is because Sanford innocently miscalculated the accounts receivable figures; it was not done in a fraudulent or negligent manner. While the statement was a misrepresentation given the fact that it was false, unambiguous, concerned with a fact, and material, it does not fully satisfy all of elements of actionable misrepresentation. As a result, Depot should not sue. In the case of innocent misrepresentation, the result is the remedy of rescission. This means that the contract would be cancelled, and both parties would return to their pre-contractual ownership positions. This is likely not in Depots best interest, as they have already owned the business for two years, and have thus invested a significant amount of time and money into the businesss development. Moreover, Depot has known about this error since approximately January 2015, and did not act upon it immediately. This reduces the likelihood of the remedy of rescission. Due to the innocent nature of the misrepresentation, and the fact that the only outcome is rescission, Depot should not pursue any legal remedy with regards to the misstated accounts receivable. What should Depot do? For the reasons outlined above, Depot should sue Sanford for breaching their contract, specifically the non-competition clause of it. The company is very likely to win a legal dispute against Sanford, and runs the risk of losing even more business to Sanford if they choose to remain passive. Going forward, Depot should hire a lawyer to represent them, and to examine precedent cases in order to evaluate the most appropriate course of legal action. Depot should also consider whether or not the financial compensation that may be awarded in a lawsuit will outweigh the direct and indirect costs involved in a lawsuit. Legal action is most likely worth Depots time and money in this case, as an injunction on Sanford would allow them to establish themselves in the insurance industry and create customer relationships without Sanfords competition for the remaining time frame of the covenant. In order to avoid losing more customers to Sanford, who has many connections and more experience in the local competitive landscape, Depot should pursue legal action immediately.

Suppliers will have more power if there are not many them, switching among suppliers are too costly, suppliers do not depend on the industry, there is no substitute for what suppliers provide, and the supplier enter the industry (Porter 2008). Based on these measurements, because buyers do not always have extensive contacts with equipment manufacturers and Openshaws service is differentiated, the buyers power for online equipment broker is low. The threat of a substitute is high if the substitute has a better price-performance ratio compared to the industry offering and the cost of switching to the substitute is low (Porter 2008). Although the cost of switching to substitute is low, the threat of a substitute for online brokerage industry is low. The level of competition of an industry is determined by a number of reasons including numbers of similar size competitors, industry growth rate, exit barriers, and competitors business commitment. To my knowledge, there are not many online equipment brokers within New Zealand and the level of competition is relatively low. In addition, the costs of leaving the industry are low because the initial capital investment is low and there are not much assets for this type of ecommerce. Overall, if the industry has high entry barriers, many small and equal suppliers and buyers, few substitutes, and not much hostile competitors, the organisations in the industry are likely to make good profit from the market. Although the threat of new entrants is high and the buyers are moderate powerful for online equipment broker industry, the power of suppliers, threat of a substitute and rivalry among competitors are fairly low. The online equipment broker sector should, therefore, has a sound industry environment and potential good profitability. Conclusion In the case of Openshaw, the first mover strategy was the key for its establishment and success. Starting up Openshaw was an entrepreneurial action because there was no such online equipment broker at that time, which is only 13 years ago. Its success should be attributed by the combination of entrepreneurial actions and strategic management. Entrepreneurial actions and strategic management are important for business growth independently, yet they generate synergy that increases the value of their individual outcomes (Ireland, Camp, Hitt and Sexton 2001). Entrepreneurship is mainly about innovation and growth while strategic management focuses on competitive advantage. However, they have a common goal, to generate profit. Innovation can create competitive advantage and competitive advantage subsequently increases growth. The strategy that Openshaw used was the first mover strategy. Evidence suggested the first movers in a particular industry usually have long lasting benefits over th e later comer (Suarez and Lanzolla 2008). However, Suarez and Lanzolla (2008) also pointed out that this strategy likely success if the pace of both market and technology evolution is smooth. This is actually the case of Openshaw. When the company was established, the Internet technology has been well developed and the consumers have accepted the technology and have started to enjoy the benefit of it. Soon after this, his career sky rocketed and he started pumping out the manuscripts. In 1874, Hardy began writing Far from the Madding Crowd. He was engrossed in the making of this book; it consumed him. While attending college classes, he resorted to writing on leaves, woodchips, stones, and whatever else he could find while moving between classes. This book marked the turning point of his career. Not to long after this, his wife passed away. It did not seem that Hardy was too broken up over this tragedy because soon after his wifeââ¬â¢s death, he married his secretary. The marriage only lasted for a little while because on January eleventh of 1928 Hardy died in his hometown of Dorset, England.
